Companies (Amendment) Regulations 2002
In exercise of the powers conferred by section 411 of the Companies Act, the Minister for Finance hereby makes the following Regulations:
Citation and commencement
1.  These Regulations may be cited as the Companies (Amendment) Regulations 2002 and shall come into operation on 15th January 2002.
Amendment of regulation 3
2.  Regulation 3 of the Companies Regulations (Rg 1) is amended by inserting, immediately after paragraph (2), the following paragraph:
(3)  Paragraphs (1) and (2) shall not apply to documents to be filed electronically with the Registry of Companies.”.
New regulation 5A
3.  The Companies Regulations are amended by inserting, immediately after regulation 5, the following regulation:
Electronic forms
5A.—(1)  The Registrar may issue such electronic transaction forms as he thinks fit for the purposes of the Act.
(2)  Unless otherwise required, all particulars to be inserted in an electronic transaction form shall be in the English language.
(3)  An electronic transaction form shall be completed in accordance with the directions specified in the form or such other directions as are specified by the Registrar.
(4)  The Registrar may refuse to accept any form that is not completed in accordance with this regulation.”.
New regulation 8A
4.  The Companies Regulations are amended by inserting, immediately after regulation 8, the following regulation:
Consents to be filed electronically
8A.  Where an agent has been engaged for the purposes of incorporating a company, the agent shall confirm in the manner determined by the Registrar —
(a)the consent of a person to act as a director that is required to be lodged with the Registrar under section 146(1) of the Act, together with a statement that the person is not disqualified to act as a director; and
(b)the consent of a person to act as a secretary that is required to be lodged with the Registrar under section 171(1B) of the Act,
and file such confirmations electronically with the Registry of Companies.”.
New regulation 89A
5.  The Companies Regulations are amended by inserting, immediately after regulation 89, the following regulation:
Qualifications of person issuing certificate of identity
89A.  For the purposes of section 19(3) of the Act, a person who is qualified to act as a company secretary under section 171(1A) of the Act may issue the certificate required under the first-mentioned section.”.
Amendment of First Schedule
6.  The First Schedule to the Companies Regulations is amended by deleting the heading “For lodgment electronically Form No.” in the third column and all the references relating to form numbers under that heading.
Amendment of Second Schedule
7.  The Second Schedule to the Companies Regulations is amended by deleting the heading “ELECTRONIC FORMS” and all the forms under that heading.
