Companies Act (Amendment of Second Schedule) Notification 2002
In exercise of the powers conferred by section 8(6) of the Companies Act, the Minister for Finance hereby makes the following Notification:
Citation and commencement
1.  This Notification may be cited as the Companies Act (Amendment of Second Schedule) Notification 2002 and shall come into operation on 15th January 2002.
Amendment of Second Schedule
2.  The Second Schedule to the Companies Act is amended —
(a)by deleting items 1, 2 and 3 and substituting the following item:
1. For the incorporation of a local company with share capital and the issue of a certificate of incorporation by the Registrar

(b)by deleting items 7 and 8 and substituting the following items:
7. For every application for consent of the Minister to use of a name by a corporation and order of the Minister granting consent to use of a name by a corporation

8. On submitting any other application to the Minister under the Act

(c)by deleting items 10 and 11 and substituting the following item:
10. For perusal of the memorandum or articles of a company in connection with an application for a licence under section 29, and the granting of a licence by the Minister to dispense with the word “Berhad” or “Limited” in the name of a company

(d)by deleting “$10” in item 12 and substituting “$100”;
(e)by deleting items 17 and 18 and substituting the following items:
17. For registration of a foreign company —
 
 
(a) where the company has a share capital which does not exceed $100,000
 
$1,200
(b) where the company has a share capital which exceeds $100,000, in addition to the fee of $1,200 in paragraph (a), the following fees:
 
 
(i) for every $100,000 of nominal share capital or part of $100,000 after the first $100,000 up to $1,000,000
 
$400
(ii) for every $1,000,000 of nominal share capital or part of $1,000,000 after the first $1,000,000

(c) where the fees prescribed in paragraphs (a) and (b) are not applicable

18. On lodging by a foreign company of notice of increase in share capital — one half of the amount equal to the difference (if any) between the amount which would have been payable under the Act on first registration by reference to its capital as increased and the amount which would have been payable under the Act by reference to its capital immediately before the increase:
 
 
except that no foreign company shall be liable to pay in respect of nominal share capital on registration or thereafter any amount of fees greater than $35,000 taking into account in the case of fees payable on an increase of share capital after registration the fees paid on registration.

(f)by inserting, immediately after item 20, the following items:
20A. On an application submitted electronically for the approval and reservation of names
 
$ 15 for each name approved
20B. On an application for appeal on the approval and reservation of names submitted electronically
 
$15 for each name applied
”;
(g)by deleting “$5” in item 21 and substituting “$10”;
(h)by deleting item 33 and substituting the following item:
33. On lodging any other application to the Registrar, excluding an application under section 23(2), 200 or 202
 
$30
”; and
(i)by deleting “$50” in item 33B and substituting “$100”.
