(Amendment No. 3) Regulations 2020
In exercise of the powers conferred by section 411 of the Companies Act, the Minister for Finance makes the following Regulations:
Citation and commencement
1.  These Regulations are the Companies (Amendment No. 3) Regulations 2020 and come into operation on 30 July 2020.
Deletion of regulation 7
2.  Regulation 7 of the Companies Regulations (Rg 1) is deleted.
Deletion of Part V
3.  Part V of the Companies Regulations is deleted.
Amendment of First Schedule
4.  The First Schedule to the Companies Regulations is amended by deleting the items corresponding to Forms 61, 61A, 62, 62A, 63A, 63B, 63C, 63D, 63E, 63F, 63G, 63H, 63I, 63L, 63M, 63N, 63O, 63P, 63Q, 63R, 63S, 63T, 63U, 63V, 65A, 67, 76 and 77.
Amendment of Second Schedule
5.  The Second Schedule to the Companies Regulations is amended by deleting Forms 61, 61A, 62, 62A, 63A, 63B, 63C, 63D, 63E, 63F, 63G, 63H, 63I, 63L, 63M, 63N, 63O, 63P, 63Q, 63R, 63S, 63T, 63U, 63V, 65A, 67, 76 and 77.
Saving and transitional provisions
6.—(1)  Despite regulation 2, regulation 7 of the Companies Regulations as in force immediately before 30 July 2020 continues to apply to or in relation to —
(a)a company in respect of which a winding up order under section 216(2)(f) of the Act was made before that date;
(b)a company that is wound up pursuant to an application made before that date for winding up under section 253 of the Act;
(c)a company in respect of which voluntary winding up was commenced within the meaning of section 291(6) of the Act before that date;
(d)an unregistered company that is wound up pursuant to an application made before that date for winding up under section 351 of the Act;
(e)a foreign company that is wound up pursuant to a notice of commencement of liquidation or dissolution proceedings in its place of incorporation or origin that was lodged under section 377(2)(a) of the Act before that date; or
(f)a corporation that is wound up pursuant to an application made before that date for recognition of a foreign proceeding under Article 15(1) of the Tenth Schedule to the Act.
(2)  Despite regulation 3, Part V of the Companies Regulations as in force immediately before 30 July 2020 continues to apply to or in relation to —
(a)an application made before that date for a judicial management order under section 227B(1) of the Act; or
(b)an application under section 227B(1) of the Act made by a foreign representative appointed in a foreign proceeding arising from an application made before that date for recognition of the foreign proceeding under Article 15(1) of the Tenth Schedule to the Act.
(3)  Despite regulations 4 and 5 —
(a)the items corresponding to Forms 61, 62, 65A and 67 in the First Schedule, and Forms 61, 62, 65A and 67 in the Second Schedule, to the Companies Regulations as in force immediately before 30 July 2020 continue to apply to or in relation to any company in respect of which voluntary winding up is commenced within the meaning of section 291(6) of the Companies Act before that date;
(b)the items corresponding to Forms 61A, 62A, 76 and 77 in the First Schedule, and Forms 61A, 62A, 76 and 77 in the Second Schedule to the Companies Regulations as in force immediately before 30 July 2020 continue to apply to or in relation to —
(i)a company in respect of which a winding up order under section 216(2)(f) of the Act was made before that date;
(ii)a company that is wound up pursuant to an application made before that date for winding up under section 253 of the Act;
(iii)a company in respect of which voluntary winding up was commenced within the meaning of section 291(6) of the Act before that date;
(iv)an unregistered company that is wound up pursuant to an application made before that date for winding up under section 351 of the Act;
(v)a foreign company that is wound up pursuant to a notice of commencement of liquidation or dissolution proceedings in its place of incorporation or origin that was lodged under section 377(2)(a) of the Act before that date; or
(vi)a corporation that is wound up pursuant to an application made before that date for recognition of a foreign proceeding under Article 15(1) of the Tenth Schedule to the Act; and
(c)the items corresponding to Forms 63A, 63B, 63C, 63D, 63E, 63F, 63G, 63H, 63I, 63L, 63M, 63N, 63O, 63P, 63Q, 63R, 63S, 63T, 63U, 63V and 77 in the First Schedule, and Forms 63A, 63B, 63C, 63D, 63E, 63F, 63G, 63H, 63I, 63L, 63M, 63N, 63O, 63P, 63Q, 63R, 63S, 63T, 63U, 63V and 77 in the Second Schedule, to the Companies Regulations as in force immediately before 30 July 2020 continue to apply to or in relation to —
(i)any company in respect of which an application is made before that date for a judicial management order under section 227B(1) of the Act; or
(ii)any company in respect of which an application is made for a judicial management order under section 227B(1) of the Act arising from an application made before that date for recognition of a foreign proceeding under Article 15(1) of the Tenth Schedule to the Act.
