Regulations 2013

In exercise of the powers conferred by sections 240, 243 and 341 of the Securities and Futures Act, the Monetary Authority of Singapore hereby makes the following Regulations:

Citation and commencement

1. These Regulations may be cited as the Securities and Futures (Offers of Investments) (Shares and Debentures) (Amendment No. 2) Regulations 2013 and shall come into operation on 2nd April 2013.

Amendment of regulation 2

2. Regulation 2 of the Securities and Futures (Offers of Investments) (Shares and Debentures) Regulations 2005 (G.N. No. S 611/2005) (referred to in these Regulations as the principal Regulations) is amended ―

(a)

by deleting the words “ASEAN Offering of debt securities” in the definition of “ASEAN Debt Securities Disclosure Standards” in paragraph (1) and substituting the words “ASEAN Offering of Plain Debt Securities”;

(b)

by inserting, immediately after the words “an offer” in the definition of “ASEAN Offering” in paragraph (1), the words “of shares or Plain Debt Securities”;

(c)

by inserting, immediately after the definition of “continuously issued structured notes” in paragraph (1), the following definition:

“ “Plain Debt Securities” has the same meaning as in the ASEAN Debt Securities Disclosure Standards;”; and

(d)

by deleting the word “Eighteenth” in paragraph (3) and substituting the word “Sixteenth”.

Amendment of regulation 8

3. Regulation 8 of the principal Regulations is amended ―

(a)

by deleting the words “an ASEAN Offering of debentures” in paragraph (2) and substituting the words “an ASEAN Offering of Plain Debt Securities”;

(b)

by deleting the words “and in the Seventeenth Schedule” in paragraph (2A)(a); and

(c)

by deleting sub‑paragraph (b) of paragraph (2A) and substituting the following sub‑paragraph:

“(b)	a prospectus for an ASEAN Offering of Plain Debt Securities shall contain the particulars set out in the ASEAN Debt Securities Disclosure Standards.”.

Amendment of Fourth Schedule

4. The Fourth Schedule to the principal Regulations is amended ―

(a)	by deleting the word “EIGHTEENTH” in the Schedule heading and substituting the word “SIXTEENTH”;
(b)	by deleting the word “Eighteenth” in paragraphs 1, 2(1), 3(1) and 4 to 8 and substituting in each case the word “Sixteenth”; and
(c)	by deleting paragraph 9.

Deletion of Seventeenth and Eighteenth Schedules

5. The principal Regulations are amended by deleting the Seventeenth and Eighteenth Schedules.
