Limited Liability Partnerships
(Amendment No. 2) Regulations 2024

In exercise of the powers conferred by section 90 of the Limited Liability Partnerships Act 2005, the Minister for Finance makes the following Regulations:

Citation and commencement

1.—(1) These Regulations are the Limited Liability Partnerships (Amendment No. 2) Regulations 2024 and, except for regulation 5, come into operation on 9 December 2024.

(2) Regulation 5 is deemed to have come into operation on 31 December 2021.

New regulations 14A and 14B

2. In the Limited Liability Partnerships Regulations (Rg 1) (called in these Regulations the principal Regulations), after regulation 14, insert —

“Excluded documents under section 36(4) of Act

14A. For the purposes of section 36(4) of the Act, the following documents filed or lodged with, or obtained by, the Registrar on or after 9 December 2024, are excluded documents to which section 36(1) of the Act does not apply:

(a)

a document (other than a form mentioned in regulation 14B) that contains any of the following information about an individual:

(i)	the individual’s date of birth;
(ii)	the individual’s residential address;
(iii)	the individual’s email address;
(iv)	the individual’s mobile telephone number;

(b)

where an application is lodged to apply for the reservation of a name in respect of a proposed limited liability partnership or limited liability partnership under section 23(1) of the Act — any other document lodged in respect of the application;

(c)

where a person has applied to the Registrar to give a direction to a limited liability partnership to change the limited liability partnership’s name under section 24(6) of the Act — any other document lodged by the person and the limited liability partnership in respect of the application;

(d)

where an application is made to strike a limited liability partnership’s name off the register under section 64(1) of the Act — any other document lodged in respect of the application;

(e)

where an objection to strike a limited liability partnership’s name off the register is delivered under section 66(1) of the Act — any other document lodged in respect of the objection.

Prescribed information under section 36(5)(c) of Act

14B. For the purposes of section 36(5)(c) of the Act, the reference to a document in section 36(1) of the Act excludes the following entries in a form submitted on the electronic transaction system:

(a)	a person’s email address;
(b)	an individual’s residential address;
(c)	an individual’s mobile telephone number.”.

Amendment of First Schedule

3. In the principal Regulations, in the First Schedule, delete item 8.

Amendment of Second Schedule

4. In the principal Regulations, in the Second Schedule, replace Part 2 with —

Miscellaneous amendments

5. In the principal Regulations —

(a)

in regulation 2, in the definition of “electronic transaction system”, replace “section 28B(1)” with “section 27(1)”;

(b)

in the following provisions, replace “(Cap. 2A)” with “2004”:

Regulation 10(3), definition of “registered filing agent”;

(c)

in regulation 8, replace “section 15(1)” wherever it appears with “section 19(1)”;

(d)

in regulation 8, replace “paragraphs (a) to (eb)” with “paragraphs (a) to (g)”;

(e)

in regulation 10(3), in the definitions of “registered filing agent” and “registered qualified individual”, replace “section 28A” with “section 26”;

(f)

(g)

in the following provisions, replace “section 16” wherever it appears with “section 20”:

in the First Schedule, in item 11, replace “section 28B(1)” with “section 36(1)”.

Transitional provision

6. Despite regulation 4, Part 2 of the Second Schedule to the principal Regulations as in force immediately before 9 December 2024 continues to apply to the late lodgment of a document under the Act, where that document was required to be lodged before that date.
