Science Centre Board Regulations

Citation
1.  These Regulations may be cited as the Science Centre Board Regulations.
Definition
2.  In these Regulations, unless the context otherwise requires, “Director” means the chief administrative officer of the Science Centre referred to in section 7(1) of the Act.
Meeting
3.  The Board may meet at such times and places as it may determine but shall hold a meeting at least once in two months.
Quorum
4.  Six members of the Board shall constitute a quorum at any meeting of the Board, and no business shall be transacted unless a quorum is present.
Chairman to preside at meetings
5.  The Chairman, or in his absence, the Deputy Chairman, shall preside at all meetings of the Board.
In Chairman’s absence, member to preside at meetings
6.  In the absence of the Chairman and the Deputy Chairman, such member of the Board as the members present at a meeting may elect shall preside at the meeting of the Board.
Casting vote
7.  All questions coming before or arising at any meeting of the Board shall be decided by a majority of members of the Board present and voting thereon, and in case of an equality of votes, the person presiding at the meeting shall have a casting vote.
Disclosure of interest by members
8.—(1)  A member of the Board shall, if he is in any way directly or indirectly interested in a contract made or proposed to be made by the Board, disclose the nature of his interest at a meeting of the Board as soon as the relevant circumstances have come to his knowledge.
(2)  Any disclosure made by a member under paragraph (1) shall be recorded in the minutes of the Board, and that member shall not take part in any deliberation or decision by the Board with respect to that contract.
Secretary
9.  The Director shall act as the ex-officio Secretary to the Board and shall keep proper minutes and other records of the meetings of the Board.
